Terms of Service

In short: GHive is a marketplace that connects people who have spare GPUs (Hosts) with people who want to rent them (Renters). We are an intermediary. Use compute lawfully, pay for what you use, and don't damage anyone's machine. Our liability is limited as set out below.
These Terms of Service (“Terms”) are a binding agreement between you and [REGISTERED ENTITY NAME — OPC], Bengaluru 560098, Karnataka, India (“GHive”, “we”, “us”). By creating an account or using the platform at ghive.co.in and related services (the “Platform”), you agree to these Terms, our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Platform.
1. Definitions
- Host — a user who lists a GPU machine for rent and runs the GHive host software (agent/desktop app).
- Renter — a user who rents GPU capacity from a Host through the Platform.
- Instance — a running rental of a Host’s GPU by a Renter.
- Wallet — your prepaid balance on the Platform, held in Indian Rupees (paise).
2. Our role — we are a marketplace, not the compute provider
GHive provides the technology that lets Hosts and Renters transact, sets the applicable rates, brokers the network connection, meters usage and handles payments. The GPU hardware, electricity, network and operating environment are provided by the Host, not by GHive. We do not own or control Host machines and are not a party to the actual compute that runs on them.
3. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for the accuracy of your account information and for all activity under your account.
- Keep your credentials and SSH keys secure. Notify us promptly of any unauthorised use.
4. Pricing, Wallet and billing
- GHive sets the rates. Each GPU type has a Renter rate (what you pay) and a Host rate (what the Host earns). The difference is GHive’s marketplace margin.
- Renters pre-fund a Wallet. Usage is metered by GHive’s control plane (not self-reported by Hosts) and billed against the Wallet, typically per second of runtime.
- If your Wallet balance is insufficient, we may auto-stop your Instances to prevent unpaid usage.
- Host earnings accrue to the Host’s Wallet. Payout of Host earnings to a bank account is subject to verification, applicable taxes and our payout process.
- Taxes (e.g. GST) may apply and will be handled as described in our billing and tax practices.
5. Host obligations
- You must own or be authorised to rent out the machine and have the right to grant access to it.
- Provide reasonable availability and accurate specifications. Misrepresenting hardware (spec spoofing) is prohibited and may result in removal.
- Do not access, copy, interfere with, or attempt to read a Renter’s data or workloads. Renter sessions are end-to-end encrypted; circumventing this is a serious breach.
- You are responsible for the security, cooling, power and lawful operation of your own machine.
6. Renter obligations
- Use the compute only for lawful purposes permitted by the Acceptable Use Policy.
- Do not attempt to break out of the provided container/instance, escalate privileges on, persist on, damage, or gain unauthorised access to the Host machine or network.
- You are responsible for your data and for backing it up. Instances are ephemeral.
7. Host GPU failure, downtime and interruptions
Host machines are independently operated and may fail, restart, lose power or network, or become unavailable at any time. GHive does not guarantee that any specific Host, GPU, or Instance will be available, performant, or uninterrupted, except where a separate written Service Level Agreement (SLA) applies (see Section 14).
- If an Instance fails or is interrupted, you are billed only for metered usage up to the point of failure; unused pre-funded amounts remain in your Wallet.
- Where an Instance fails to start or fails due to a Host/Platform fault, we will not charge for it and may issue Wallet credit (see the Refund & Cancellation Policy).
- GHive is not liable for Renter losses (including lost compute time, lost results, or lost profits) arising from Host failures or downtime, subject to Section 12.
8. Damage, misuse and responsibility between users
- A Renter who damages, compromises, or unlawfully accesses a Host machine — or uses it in breach of these Terms or the AUP — is responsible for the resulting loss and indemnifies both the Host and GHive (Section 11).
- A Host who tampers with, surveils, or harms a Renter’s workload or data is responsible for the resulting loss and indemnifies both the Renter and GHive.
- GHive provides tooling (isolation, metering, control-plane observation, audit logging) to reduce these risks but is not a guarantor of either party’s conduct and is not liable for the acts or omissions of Hosts or Renters.
- Disputes between a Host and a Renter are primarily between those users. GHive may, at its discretion, mediate, suspend accounts, withhold funds in dispute, or share information with law enforcement.
9. Acceptable use
Your use must comply with the Acceptable Use Policy, which prohibits, among other things, malware, intrusion/hacking, credential cracking, phishing, denial-of-service, and illegal content. We may suspend or terminate accounts for violations.
10. Suspension and termination
- We may suspend or terminate your access immediately for breach of these Terms or the AUP, suspected fraud, non-payment, legal requirement, or risk to other users or the Platform.
- You may close your account at any time. Outstanding obligations (including amounts owed and indemnities) survive termination.
11. Indemnification
You will indemnify and hold harmless GHive, its officers, employees and partners from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of your use of the Platform, your content or workloads, your breach of these Terms or the AUP, or your violation of any law or third-party right.
12. Disclaimers and limitation of liability
The Platform is provided “as is” and “as available”without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that compute results, availability, or Host conduct will meet your requirements.
To the maximum extent permitted by law, GHive will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or compute results, or for hardware failures, internet/power outages, or data loss — even if advised of the possibility. GHive’s total aggregate liability for any claim arising out of or relating to the Platform is limited to the greater of (a) the total fees you paid to GHive in the three (3) months preceding the event giving rise to the claim, or (b) ₹5,000. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Refunds
Refunds and cancellations are governed by our Refund & Cancellation Policy.
14. Enterprise agreements
Enterprise customers may enter into a separate Master Services Agreement, Service Level Agreement (SLA), Data Processing Agreement (DPA) and/or NDA. Where such a signed agreement exists, it supplements and, to the extent of any conflict, overrides these Terms for that customer.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified (e.g. by email or in-product). Continued use after changes take effect constitutes acceptance.
16. Governing law and dispute resolution
These Terms are governed by the laws of India. Subject to any mandatory consumer protections, the courts at [city, India] have jurisdiction, and the parties agree to attempt resolution through arbitration seated at [city, India] under the Arbitration and Conciliation Act, 1996 before litigation, where permitted.
